1. Agreement to Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Ego (“Ego”, “we”, “us”, or “our”), governing your access to and use of our Shopify applications, websites, documentation, and professional services (together, the “Services”).
By installing an Ego app, creating an account, submitting a project enquiry, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity.
2. Definitions
- “Apps” — the Shopify applications published by Ego, including Ego Cart Drawer, Ego Free Gift, Ego Subscriptions, Ego Bundles, Ego Sticky Add to Cart, Ego Preorder, Ego Order Tracking, Ego Facebook Pixel, Ego Mobile App Builder, and Ego Survey.
- “Professional Services” — custom work delivered by our team, such as Shopify customization, mobile app setup, custom development, system integration, and dedicated development teams.
- “Merchant” — the owner or authorized operator of the Shopify store on which an App is installed.
- “Store Data” — data accessible to an App through the Shopify platform, including products, orders, customers, and store configuration.
- “Platform” — Shopify or any other e-commerce platform through which the Services are distributed or operated.
3. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering into contracts to use the Services. You must also maintain an active account in good standing with the Platform on which the Apps are installed.
Account responsibility
- You are responsible for the accuracy of the information you provide to us
- You are responsible for safeguarding your credentials and for all activity under your account
- You must notify us promptly of any unauthorized access or suspected security breach
- You are responsible for the acts and omissions of staff, contractors, and agents you grant access to
4. Our Apps & Services
Ego provides commerce software and services designed to help merchants increase conversion, grow average order value, and engage customers across web and mobile. Each App has its own feature set, setup requirements, and documentation, which is published in our Help Center.
What we may change
- We continuously improve the Apps and may add, modify, or remove features
- We may deprecate an App or a feature, and will give reasonable notice where a change is material
- Feature descriptions on our marketing pages are indicative and may evolve between releases
Performance figures shown on our website (for example, expected uplift in average order value) are illustrative benchmarks drawn from aggregate merchant experience. They are not guarantees of results for your store.
5. Installation & Platforms
Our Apps are installed through the Shopify App Store and operate within the permissions you approve during installation. By installing an App you authorize Ego to access and process Store Data to the extent required to deliver the App's functionality.
- Your use of Shopify remains governed by Shopify's own terms and policies
- Uninstalling an App revokes our access to your Store Data going forward
- Apps that publish to the Apple App Store or Google Play are additionally subject to those stores' review policies and guidelines
6. Fees, Billing & Refunds
App subscriptions
App pricing, plan tiers, and free-trial lengths are shown on each App's Shopify App Store listing. Subscription charges for Apps are processed by Shopify through your Shopify billing account, and appear on your regular Shopify invoice.
- Subscriptions renew automatically for the applicable billing period until cancelled
- Cancellation takes effect at the end of the current billing period; uninstalling the App cancels future charges
- Fees are exclusive of taxes, which are applied where required by law
- We may change pricing with reasonable notice; changes apply from your next billing period
Refunds
Except where required by law or expressly stated otherwise, fees are non-refundable. Where Shopify processes the charge, refund requests are also subject to Shopify's policies. If you believe you were charged in error, contact us and we will review the request in good faith.
Professional Services fees
Fees, milestones, and payment schedules for Professional Services are set out in the applicable quote, proposal, or statement of work. Unless stated otherwise, invoices are payable within 15 days of issue.
7. Acceptable Use
You agree not to, and not to permit others to:
- Use the Services in violation of any applicable law, regulation, or third-party right
- Reverse engineer, decompile, or attempt to extract the source code of the Apps, except where such restriction is prohibited by law
- Resell, sublicense, rent, or white-label the Services without our prior written consent
- Interfere with, overload, or disrupt the Services or the infrastructure supporting them
- Probe, scan, or test the vulnerability of our systems without written authorization
- Use the Services to transmit malware, spam, or unlawful, deceptive, or infringing content
- Use automated means to scrape or harvest data from our websites beyond ordinary search-engine indexing
- Misrepresent your identity or your affiliation with any person or entity
We may suspend or restrict access where we reasonably believe these rules have been breached, or where continued access poses a security, legal, or operational risk.
8. Merchant & Customer Data
You retain all rights in your Store Data. You grant Ego a limited, non-exclusive licence to host, process, and transmit that data solely to operate, support, secure, and improve the Services.
- You are responsible for having a lawful basis to collect and share the data you route through the Services, including the personal data of your own customers
- You are responsible for maintaining your own privacy notice and obtaining any consent required in your customers' jurisdictions
- We process personal data as described in our Privacy Policy, and use cookies as described in our Cookie Policy
- We may use aggregated, de-identified data that does not identify you or any individual to analyze and improve the Services
9. Intellectual Property
The Services, including all software, source code, designs, interfaces, documentation, trademarks, and the “Ego” and “Ego Hub” names and logos, are owned by Ego or its licensors and are protected by intellectual property laws.
Licence to you
Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Apps for your own business purposes during your subscription term. No other rights are granted, expressly or by implication.
Your content
You retain ownership of the content, branding, and assets you supply. You grant us the rights necessary to display and process them within the Services, and — where you have agreed — to identify you as a customer in our marketing materials.
Feedback
If you send us suggestions or feedback, you grant us a perpetual, royalty-free right to use it without obligation or compensation to you.
10. Professional Services
Professional Services are delivered under a separate quote, proposal, or statement of work that defines scope, deliverables, timeline, and fees. These Terms apply to those engagements except where the statement of work expressly says otherwise.
- Scope changes: work outside the agreed scope requires a written change request and may affect fees and timelines
- Your dependencies: timely access, approvals, credentials, and content are required from you; delays on your side shift delivery dates
- Deliverable ownership: unless stated otherwise, custom deliverables transfer to you on full payment, excluding Ego's pre-existing tools, libraries, and know-how, which remain ours and are licensed to you for use with the deliverable
- Third-party review: where a deliverable requires approval by Apple, Google, Shopify, or another third party, we cannot guarantee approval or a review timeline
11. Availability & Support
We aim to keep the Services available and performant, and provide support to merchants through our Help Center and support channels. We do not guarantee uninterrupted or error-free operation.
- Planned maintenance may require temporary interruption; we aim to minimize impact and give notice where practical
- Availability may be affected by factors outside our control, including Platform outages and network failures
- Support is provided in English during our published support hours, unless separately agreed
12. Third-Party Services
The Services integrate with third-party platforms and tools — including Shopify, Meta, Apple, Google, payment providers, and marketing platforms. Those services are operated independently and are governed by their own terms and privacy policies.
We are not responsible for the availability, accuracy, security, or practices of third-party services, or for any loss arising from your use of them. Links to third-party sites do not imply endorsement.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will meet your requirements, achieve any particular commercial result, operate without interruption, or be free of errors or vulnerabilities.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by applicable law, and you may have additional statutory rights.
14. Limitation of Liability
To the maximum extent permitted by law:
- Ego is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, sales, or data, however caused
- Ego's total aggregate liability arising out of or relating to the Services is limited to the greater of (a) the amounts you paid to Ego for the relevant Service in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot lawfully be excluded, such as liability for fraud, gross negligence, or death or personal injury caused by negligence.
15. Indemnification
You agree to indemnify and hold harmless Ego and its officers, employees, and contractors from any claim, demand, loss, or expense (including reasonable legal fees) arising from:
- Your use of the Services in breach of these Terms or applicable law
- Content, data, or materials you supply, including claims that they infringe third-party rights
- Your handling of your own customers' personal data
16. Term & Termination
These Terms apply for as long as you use the Services. You may stop at any time by uninstalling the Apps and cancelling your subscriptions.
Termination by us
We may suspend or terminate access — with notice where practical — if you materially breach these Terms, fail to pay fees when due, use the Services unlawfully, or create risk or legal exposure for Ego or other merchants.
Effect of termination
- Your licence to use the Apps ends immediately
- Fees accrued before termination remain payable
- We retain or delete data as described in our Privacy Policy and as required by law
- Sections that by their nature should survive — including IP, disclaimers, liability, indemnity, and governing law — continue to apply
17. Changes to these Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal obligations. The updated version will be posted on this page with a revised “last updated” date. Where changes are material, we will make reasonable efforts to notify you. Continued use of the Services after the effective date constitutes acceptance.
18. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction in which Ego is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
Before starting formal proceedings, you agree to contact us and attempt to resolve the dispute informally in good faith for at least 30 days.
If you are a consumer resident in the EU, UK, or another jurisdiction granting mandatory local protections, nothing here deprives you of the protection of your local law or of your right to bring proceedings in your local courts.
